This Services Agreement outlines the terms and conditions governing all services provided by ASETS Property Management and ASETS Partnership Services to property tenants, brand partners, franchisees, SMEs, and related users.
1. Introduction
This document outlines the terms and conditions governing all services provided under ASETS Property Management and ASETS Partnership Services ("ASETS", "we", "our") to property tenants, brand partners, franchisees, SMEs, and related users ("Clients", "You").
By accessing or using our services, including but not limited to physical location usage, digital support, business consultation, or customized requests, you agree to comply with these terms.
2. Scope of Services
ASETS provides the following standard property management services:
- Property leasing (commercial and strategic locations)
- Routine location maintenance and monitoring
- Tenant onboarding and exit process
- Operational support
- Access to business traffic data (limited)
- General support during business hours
These services are delivered under our Standard Publish Rate, unless otherwise modified by mutual agreement.
3. Custom Services & Premium Partnership Program
Clients may request Customized Services or join the ASETS Partnership Program, which includes:
- Location prioritization and brand recommendation
- Marketing & promotional assistance
- Traffic enhancement strategies
- Integration with ASETS partner ecosystems (e.g. fintech, marketplaces)
- AI-backed business support & advisory
Any request that falls outside of the standard operational scope will be evaluated as a Premium Custom Service, and is subject to a Revenue Sharing Agreement (RSA).
4. Revenue Sharing Agreement (RSA)
When a Client receives non-standard services or tailored support from ASETS, the following will apply:
- A mutually signed Revenue Sharing Agreement is required
- Sharing percentages are based on business category, traffic value, and operational effort
- Duration of the agreement is fixed with possible renewal
- All premium services will be withheld unless RSA is executed
5. Failure to Execute RSA
If the Client does not sign or finalize the RSA within 14 (fourteen) calendar days after receiving the customized offer:
- ASETS will withdraw the premium/custom services offer
- All services will automatically revert to Standard Publish Rates
- The latest pricing is accessible at: www.asets.co.id
No further discussion or exceptions will be made unless formally submitted and approved.
6. Billing & Payment
- All invoices are to be paid within the due date stated
- Late payment may result in additional administrative charges
- Subscription models will automatically be converted to CAPEX-based billing after 30 days of non-payment
- CAPEX billing follows the policy terms agreed upon in the Master Contract
7. Termination & Suspension
ASETS reserves the right to suspend or terminate services under the following conditions:
- Breach of agreement
- Non-payment of dues after 30 days
- Violation of any ASETS property usage policy
- Misrepresentation of business activity
Termination will be communicated in writing with a 7-day notice period.
8. Intellectual Property & Data
- All systems, designs, data, tools, and materials provided by ASETS are the property of ASETS
- Clients are prohibited from copying, reproducing, or redistributing these materials without written consent
- ASETS may analyze property usage data for optimization purposes, while maintaining user confidentiality
9. Limitation of Liability
ASETS is not liable for:
- Loss of profit due to business performance
- Operational disruptions caused by third-party service providers
- Force majeure events (natural disasters, regulations, etc.)
10. Dispute Resolution
All disputes will first be settled amicably. If unresolved, the matter shall be handled under Indonesian law through the designated commercial arbitration body.

12. Amendments
